Terms of Service

1. Definitions

• Website — techvinta.com and all associated subdomains, pages, and content
• Services — Custom software development, consulting, design, maintenance, and related professional services
• Deliverables — Source code, documentation, designs, and other work product we produce under a project agreement
• Project Agreement — Any signed statement of work, proposal, or contract governing a specific engagement
• Intellectual Property — Patents, copyrights, trade marks, trade secrets, and all similar proprietary rights

2. Website Use

Permitted Use

You may access the Website for lawful purposes, including reviewing our services, reading blog content, and submitting enquiries. We grant you a limited, non-exclusive, revocable licence to access the Website for personal or internal business evaluation.

Prohibited Conduct

You agree not to:

• Attempt to gain unauthorised access to any portion of the Website or its systems
• Use automated bots or scrapers to extract data beyond what robots.txt permits
• Introduce viruses, malware, or technologically harmful material
• Interfere with the performance or integrity of the Website
• Impersonate any person or entity
• Reproduce or redistribute Website content without written permission

3. Professional Services

Engagement and Scope

All service engagements are governed by a Project Agreement signed by both parties. In the event of conflict between these Terms and a Project Agreement, the Project Agreement prevails for that engagement.

Client Obligations

To enable timely delivery, you agree to:

• Provide accurate requirements, content, and assets in a timely manner
• Designate a primary contact authorised to make decisions and approve deliverables
• Participate in scheduled reviews and feedback sessions within agreed timeframes
• Provide access to necessary third-party systems and environments

Delays caused by late provision of requirements or access may result in adjusted timelines and additional charges.

Change Requests

Changes to agreed scope must be submitted in writing. We will assess timeline and budget impact and provide a revised estimate before proceeding.

4. Fees and Payment

Estimates provided through the Website are non-binding. Final pricing is established in the Project Agreement. Unless otherwise agreed:

All fees are exclusive of applicable taxes (GST, VAT, sales tax) unless stated otherwise.

5. Intellectual Property

Website Content

All website content — text, graphics, logos, images, blog articles, and code samples — is our property or that of our licensors, protected by intellectual property laws.

Client Deliverables

Upon full payment, we assign to you all IP rights in custom Deliverables, except:

• Pre-existing materials — Tools and code that existed before the engagement remain ours; we grant you a perpetual, royalty-free licence to use them within your Deliverables
• Open-source components — Licensed under their respective terms (MIT, Apache 2.0, etc.); we document all dependencies

Portfolio Use

Unless you notify us otherwise in writing, we may use your company name, project screenshots, and a brief description for our portfolio and marketing materials.

6. Confidentiality

Both parties agree to treat all non-public business, technical, and financial information as confidential. Neither party shall disclose confidential information to third parties without written consent, except to employees or advisors under confidentiality obligations, or as required by law.

Confidentiality obligations survive termination for 3 years. A mutual NDA is available upon request.

7. Warranties and Disclaimers

Service Warranty

We warrant that Services will be performed professionally, consistent with industry standards. Material defects attributable to our work will be remedied at no cost within 30 days of notice, provided notice is given within 60 days of delivery.

Website Disclaimer

The Website is provided "AS IS" and "AS AVAILABLE." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

• Website-related liability is limited to INR 10,000 (or currency equivalent)
• Service engagement liability is limited to fees paid in the preceding 12 months
• Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages

Nothing excludes liability for negligence causing death or personal injury, fraud, or any liability that cannot be lawfully excluded.

9. Indemnification

You agree to indemnify and hold harmless TechVinta, its directors, employees, and agents from claims arising out of your breach of these Terms, unlawful use of the Website, or third-party IP infringement claims related to materials you provided.

10. Term and Termination

These Terms remain in effect while you use the Website. We may suspend access at any time for violations. Service engagement termination is governed by the applicable Project Agreement; generally, either party may terminate with 30 days' written notice, subject to payment for completed work.

Sections on IP, Confidentiality, Liability, Indemnification, Governing Law, and accrued payments survive termination.

11. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, pandemics, war, government actions, power outages, or internet failures. The affected party must provide prompt notice and use reasonable efforts to mitigate impact.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Disputes shall first be attempted through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, in New Delhi, India. Either party may seek injunctive relief in the courts of Noida, Uttar Pradesh for IP or confidentiality matters.

13. General Provisions

• Entire agreement — These Terms, our Privacy Policy, Cookie Policy, and any Project Agreement form the complete agreement
• Severability — Invalid provisions do not affect the remaining Terms
• Waiver — Failure to enforce a right is not a waiver
• Assignment — You may not assign rights without our written consent
